TERMS & CONDITIONS
We have established the following terms and conditions as a requirement for visitors using our site. In order to use our site, you must agree to
these terms and conditions. By choosing to access and use this site, you are expressly agreeing to be legally bound by these terms. If you do
not agree, do not use or view the site.
1. General. This Agreement shall be governed by and interpreted in accordance with the laws of the State of California. This constitutes the
entire agreement between Buyer and Seller with respect to the purchase and sale of the products and/or services and support described on
this website and only representations or statements contained herein shall be binding upon Seller as a warranty or otherwise. No addition to or
modification of any of the terms and conditions specified herein shall be binding upon Seller unless made in writing and signed by a duly
authorized representative of Seller. The Terms and Conditions specified shall prevail notwithstanding any variance from the Terms & Conditions
of any order or other form submitted by Buyer for the products set forth on this website. All cancellations and reschedules require a minimum
of thirty (30) days’ notice. C-Scan Corporation shall not be liable for any defects, non-performance, or performance of equipment not within
the manufacturer’s specifications or tolerances that result from the Buyer’s failure to use and maintain the equipment in accordance with the
manufacturer’s recommendations, guidelines or due to normal wear.
2. Delivery, Risk of Loss and Insurance. All deliveries shall be F.O.B. C-Scan Corporation. All delivery dates are estimated and Seller shall make a
reasonable effort to meet any delivery date(s) quoted or acknowledged. However, Seller will not be liable for its failure to meet such date(s).
Loss or damage that occurs during shipping by a carrier arranged by Seller is Seller’s responsibility. Loss or damage that occurs during shipping
by a carrier arranged by Buyer is Buyer’s responsibility. If requested by buyer, Seller will insure to full value the Equipment shipped or declare full
value thereof to the transportation company at the time of the shipment. Buyer shall provide and maintain at its sole expense from the time of
such delivery of the Equipment until payment by Buyer of the full amount due hereunder, for insurance against loss, theft, damage or
destruction of the Equipment for its full replacement value, with loss payable to Seller or its assignee. All new, used and refurbished products
are subject to availability.
3. Prices, Shipping Charges and Payment Terms. Prices are in U.S. Dollars and are subject to change without notice. Prices are exclusive of all
taxes, including state and local use, sales, property, and similar taxes. Buyer agrees to pay such taxes unless Buyer has provided Seller with a
valid exemption resale certificate or unless such sale is otherwise exempt from such taxes. When applicable, such taxes shall appear as a
separate item on Seller’s invoice. Seller is not responsible for pricing, typographical, or other errors, in any quote by Seller and reserves the
right to cancel any orders resulting from such errors. All quotes are subject to Product availability and/or prior sale. Shipping charges will be
paid for by the Buyer and such shipping charges will appear as a separate item on Seller’s invoice. Unless otherwise stated, payment by the
Buyer is due upon receipt of invoice. Payment may be made by check or by Credit Card via PayPal or direct debit. Buyer is liable for all collection
fees.
4. Warranty, Unless otherwise stated, all items are sold with a thirty (30) day warranty from the date of shipment. During such period C-Scan
Corporation will, at no charge to the customer, either repair or replace, at C-Scan Corporation’s sole option, any part of the equipment found
by C-Scan Corporation to be defective in material or workmanship. Buyers must comply with all applicable FDA guidelines regarding sale and use
of medical equipment in the United States. All refurbished items are subject to prior sale.
5. C-Scan Return Policy. Before any item purchased by the Buyer from C-Scan Corporation is returned, a C-Scan Corporation representative
must issue an RMA (Return Merchandise Authorization) which needs to be displayed on the outside of the box. No returns will be accepted
without an RMA. All returned/cancelled items are subject to a restocking fee of 65% for New products and 35% for Refurbished products.
Buyer must retain original packaging for return of equipment. Damage to equipment caused by freight carrier must be reported to Seller within
72 hours of receipt to validate warranty. Freight/shipping charges associated with the returned items are the responsibility of the Buyer.
Freight for returned items must be shipped prepaid. Freight on warranty repairs: Buyer pays freight to ship to C-Scan Corporation for warranty
work. C-Scan Corporation pays the freight to ship items back to the Buyer once they have been repaired.
6. Limitations of Liability. We will in no event be liable for any direct, indirect, special, incidental or consequential damages whatsoever,
whether grounded in tort (including negligence), strict liability or contract. It is agreed by and between the parties that all disputes and
matters whatsoever arising under, in connection with or incidental to this contract shall be litigated, if at all, in and before a court located in the
State of California, to the exclusion of the courts of any other state or country.
7. Title to Products. Title to and right of possession of the products sold hereunder shall remain with Seller until all payments provided
hereunder shall have been made in full, and Buyer agrees to do all acts necessary to perfect and maintain such right and title in Supplier. Failure
of the Buyer to pay the purchase price for any product when due shall give the Supplier the right, without liability, to repossess such product,
with or without notice, and to avail itself of any remedy provided by law.
8. Attorneys Fees and Costs. Buyer will pay all costs and expenses relating to enforcement or preservation of C-Scan Corporation’s rights
under this agreement, including reasonable attorney’s fees. Should the court find that any terms within the contract are rendered void and or
are deemed to be illegal, those terms will be severed and the remaining portion will remain.
9. Disclaimers. We have attempted to provide timely and accurate information on this Site. However, because we may have made
inadvertent errors and because information may become inaccurate over time, we cannot guarantee the accuracy, timeliness or completeness
of the information on this site. You assume all responsibility and risk for the use of this site. C-Scan reserves the right to change this Site,
including these terms of use, without notice, at any time. C-Scan reserves the right to delete any materials or information posted on this Site
by users. C-Scan does not guarantee that it will change or update this Site or that all information on this Site will be up to date at any
particular time. C-Scan reserves the right to change any products or services displayed on this Site at any time, without notice. C-Scan does
not warrant or represent that all such products will be available for purchase at all times. You are entirely responsible for maintaining the
confidentiality of your account information, including y our password, and for any and all activity that occurs under your account. You agree to
notify C-Scan immediately of any unauthorized use of your account or password, or any other breach of security. However, you may be held
liable for losses incurred by C-Scan or any other use of or visitor to the Site due to someone else using your password or account.
